Terms of Service for LaunchForge

1. Definitions

• Service: The LaunchForge platform, website (LaunchForge.com), applications, AI tools, content, features, and any related services provided by LaunchTap LLC.
• User (“you” or “your”): Any individual or entity accessing or using the Service.
• Company Content: All content within the Service created or owned by LaunchTap LLC, including text, graphics, logos, software, features, and functionality, excluding User Content.
• User Content: Any information, data, text, ideas, concepts, notes, generated outputs from AI features based on your input, and other materials submitted, stored, processed, or shared by you through the Service. This includes your raw ideas, refined ideas, analysis results derived from your input, landing page content generated for you, and interactions within the AI chat features.
• AI Features: Any tools or functionalities within the Service that utilize artificial intelligence models, including but not limited to idea refinement, description generation, business analysis, and landing page generation.

2. Eligibility and User Accounts

• Age Requirement: You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement.
• Account Creation: To access most features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.
• Account Security: You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately at [email protected] of any suspected or actual unauthorized use of your account.
• Account Responsibility: You are solely responsible for your conduct and all User Content associated with your account.
• Account Suspension/Termination: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, if you violate these Terms, engage in prohibited conduct, or for any other reason deemed necessary to protect the Service, the Company, or other Users.

3. User Content and License Grant

• Ownership: You retain ownership of the intellectual property rights in your original User Content (e.g., your original idea descriptions).
• License to Us: By submitting, storing, or processing User Content on or through the Service, you grant LaunchTap LLC a limited, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, process (including by AI models), analyze, publish (only if you use sharing features), publicly perform, publicly display, and distribute your User Content solely for the purposes of operating, providing, improving, securing, and developing the Service and its features.
• This license includes the right for us to share necessary User Content with third-party service providers (such as AI model providers and hosting services) strictly to fulfill the above purposes, subject to confidentiality or data protection obligations where applicable.
• User Representations: You represent and warrant that:
  • You own or have the necessary rights, licenses, consents, and permissions to submit your User Content and grant the license set forth above.
  • Your User Content, its submission, and our use of it as permitted by these Terms do not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any applicable law or regulation.
  • Your User Content does not contain any viruses, malware, or harmful code.
• Responsibility: You are solely responsible for your User Content and the consequences of submitting, processing, or sharing it via the Service. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.

4. User Ideas and Independent Development (IMPORTANT)

• No Confidential Relationship: Unless covered by a separate, written Non-Disclosure Agreement (NDA) signed by an authorized representative of LaunchTap LLC, your submissions are not automatically considered confidential. We respect your ideas and take reasonable measures to keep them secure within the Service, but no fiduciary or special relationship is created solely by using the platform.
• Independent Development: You acknowledge and agree that LaunchTap LLC is continuously developing its own products, services, and features, and collaborates with many users and third parties. LaunchTap LLC may currently or in the future be developing, or receive information from others about, ideas, concepts, features, or businesses that are similar or identical to your User Content ("Independent Developments").
• No Obligation or Liability: You agree that LaunchTap LLC has no obligation to you, express or implied, with respect to any Independent Developments. You will not assert any claim against LaunchTap LLC or its affiliates based on the similarity between your User Content and any Independent Developments.
• No Compensation: LaunchTap LLC has no obligation to compensate you or provide any attribution for unsolicited ideas or suggestions submitted through the Service outside of any separate written agreement.

5. AI Features

• AI Output: The Service utilizes AI Features to assist with tasks like idea refinement, description generation, business analysis, and landing page generation. You acknowledge that AI-generated output ("AI Output") may contain inaccuracies, errors, biases, or reflect limitations of the underlying AI models.
• No Guarantees: We make no warranties or guarantees regarding the accuracy, completeness, reliability, suitability, or originality of any AI Output. AI Output is provided "as is" and for informational or assistive purposes only.
• User Responsibility: You are solely responsible for reviewing, evaluating, editing, and verifying any AI Output before relying on it or using it for any purpose, including business decisions or public-facing materials.
• Input Responsibility: You are responsible for the prompts and User Content you provide to the AI Features. Do not input sensitive personal information or third-party confidential information unless you have the right to do so.
• Third-Party AI Providers: Your use of AI Features involves sending relevant User Content (like your ideas or prompts) to third-party AI service providers. Their processing of this data is subject to their respective terms and privacy policies. We take reasonable steps to ensure these providers uphold confidentiality and data protection standards where required.

6. Company Intellectual Property

The Service and all Company Content, including software, text, graphics, logos, designs, features, and the overall "look and feel," are the exclusive property of LaunchTap LLC and its licensors. These materials are protected by copyright, trademark, and other intellectual property laws. You may not use the LaunchForge name, logo, or trademarks without our prior written permission. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms for your personal or internal business purposes.

7. Feedback

If you provide us with any suggestions, comments, ideas, improvements, or other feedback relating to the Service ("Feedback"), you hereby grant LaunchTap LLC a worldwide, perpetual, irrevocable, royalty-free, fully paid-up license to use, incorporate, reproduce, distribute, modify, adapt, create derivative works from, make, have made, sell, offer for sale, import, and otherwise exploit such Feedback for any purpose, without any obligation or compensation to you.

8. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy.

9. Acceptable Use Policy

You agree not to:

• Violate any applicable laws or regulations.
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
• Submit User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Use the Service to transmit spam, chain letters, or other unsolicited communications.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Attempt to gain unauthorized access to any part of the Service or other user accounts.
• Introduce viruses, worms, trojans, or other malicious code.
• Use any automated means (robots, spiders, scrapers) to access the Service or collect data, except as explicitly permitted by us (e.g., via API).
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Overburden, disable, or impair the AI Features or related infrastructure.
• Use the Service to generate content that violates these Terms or applicable laws.

10. Payment Terms (If Applicable)

• Fees: Certain features or tiers of the Service may require payment. You agree to pay all applicable fees as described on the Service for the features you select.
• Billing: For subscription services, you will be billed in advance on a recurring basis (e.g., monthly or annually) as specified at the time of purchase. Your subscription will automatically renew unless cancelled before the end of the current billing period.
• Payment Processing: We use third-party payment processors. Your payment information is provided directly to them, and their processing is governed by their terms and privacy policies. We do not store your full credit card information.
• Changes: We reserve the right to change our fees or billing methods with notice provided reasonably in advance.
• No Refunds: All payments are non-refundable, except where required by law or explicitly stated otherwise by us.
• Taxes: You are responsible for any applicable taxes associated with your use of the Service.

11. Disclaimers

• "AS IS" BASIS: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• NO GUARANTEE OF SUCCESS: LAUNCHTAP LLC DOES NOT GUARANTEE THAT USE OF THE SERVICE WILL RESULT IN A SUCCESSFUL BUSINESS IDEA, VALIDATION, FUNDING, OR ANY PARTICULAR BUSINESS OUTCOME.
• AI OUTPUT DISCLAIMER: AI OUTPUT MAY BE INACCURATE OR INCOMPLETE. WE DISCLAIM ALL LIABILITY FOR ANY RELIANCE PLACED ON AI OUTPUT.
• SERVICE AVAILABILITY: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• USER CONTENT: WE ARE NOT RESPONSIBLE FOR USER CONTENT AND DISCLAIM ALL LIABILITY RELATED TO IT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAUNCHTAP LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT (INCLUDING USER CONTENT AND AI OUTPUT), WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LAUNCHTAP LLC HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL LAUNCHTAP LLC'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO LAUNCHTAP LLC FOR ACCESS TO OR USE OF THE SERVICE IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to defend, indemnify, and hold harmless LaunchTap LLC, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your User Content, including any claim that your User Content infringes or misappropriates the intellectual property or other rights of any third party;
• Your use of the Service (including AI Features and AI Output) in violation of these Terms or applicable law;
• Your violation of any rights of another.

14. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of law principles.
• Jurisdiction: You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in New Hampshire. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

15. Termination

• By You: You may terminate your account at any time by using the account deletion feature within the Service settings or by contacting us.
• By Us: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms or for any other reason at our sole discretion.
• Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your account and associated User Content in accordance with our data retention practices (see our Privacy Policy). However, some data may be retained as required by law or for legitimate business purposes (such as aggregated analytics). Sections relating to Intellectual Property, User Ideas, Feedback, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and other provisions that by their nature should survive, will survive termination.

16. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and LaunchTap LLC regarding the Service and supersede all prior agreements or understandings.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
• Notices: We may provide notifications to you via email notice, written or hard copy notice, or through posting of such notice on our Service, as determined by us in our sole discretion.
